Selling an agency used to feel like a someday decision. Right now it is a live question for founders at every size, because consolidation is moving through the industry from the smallest shops up to the largest. The agencies that come out ahead are not necessarily the biggest. They are the ones built to run without the person who started them.
Who Is Actually Buying Agencies
Private equity will not buy a solopreneur or an agency of 10 to 15 people. Those businesses are increasingly absorbed by mid-level agencies, which then get acquired by enterprise-level agencies, and those are the companies private equity does buy. Consolidation happens level by level, not in a single jump.
Several forces are feeding it. Founders who have run a business for 10, 15 or 20 years are tired, and many do not want to adapt to AI after already adapting through a recession and a pandemic. Retiring owners are ready to step away. Some of the resulting exits are fire sales, while others are well-built businesses earning solid market value. The difference between the two is mostly how the business was built.

What Buyers Check First
Owner dependency comes first. If every decision, client relationship and sales conversation still runs through the founder, there is little for a buyer to acquire, because the quiet question is who would do the founder's job if the founder disappeared tomorrow. A simple test is whether the owner can take a month off and the business keeps growing.
Client concentration is the next risk. One founder chased a giant RFP, doubled overnight, and suddenly a single client made up 60 percent of revenue. A year later that client was gone. Buyers also look for documented systems across delivery, business development and onboarding, real profitability rather than revenue alone, and a clear niche, whether that is a platform or an industry vertical.

Why Three Years Is Too Long to Wait
Client relationships and business development are usually the last things to leave the founder's plate, and the hardest. Relationships built over 15 or 20 years feel personal, so the account team needs to own the day-to-day well before a sale, not scramble during integration. One way to move business development is a small acquisition that brings in another founder who thinks the way an owner does.
Timing matters too. With AI changing the industry this quickly, a founder who wants out and plans for three years is planning for a market nobody can predict, so the advice is to compress that timeline to about 18 months. Founders who want to keep building can take the opposite path, but either one starts the same way: stepping out of the day-to-day.
DOT provides consistency, reliability, and makes scaling without sacrificing quality possible.
